General Conditions of Sale (GCS) - Takeoffsolution SAS

1. Purpose

These General Terms and Conditions (GTC) govern the sale of software licenses and associated services provided by Takeoffsolution SAS, distributor and installer of Tungsten Automation products, including ControlSuite, Printix, PowerPDF Advanced and Business, AP Essential, eCopy ShareScan, Omnipage Ultimate, Total Agility, Safecom, and other products. We also resell card readers (hardware).

2. Order

Orders must be placed by email at order@takeoffsolution.com.

Please include the following information in your order:

• PO Number

• Quote number

• Billing adress

• Email address for software delivery: This is the email address of the person who will have access to the software download. Any additional email addresses should also be listed if they wish to be copied on the delivery email.

• Delivery details for physical shipments (if applicable): These details should include:

  • Contact address and name, phone number, email

  • Shipping account and carrier if you wish to use your own shipping account

• Name and location of the end customer

• List of all items ordered with :

  • Product code

  • Quantity

  • Unit purchase price

  • Total purchase price

  • Contract currency

  • VAT number (if applicable)

  • Name and email address of the contact to send the invoice

Once the order is received, Takeoffsolution SAS will send an order confirmation by email to the customer. The order confirmation is deemed received as soon as the email is sent by Takeoffsolution SAS.

3. Delivery and Installation

Software licenses are sent by email within 3 business days of receipt of the order and payment (if applicable). Software installation is done remotely by prior appointment, with technical assistance provided via remote control software (TeamViewer, Teams, Google Remote, etc.).

4. Price and Payment

Prices quoted are in euros. VAT is specified for customers located in France. For customers in other European countries, VAT declaration is the customer's responsibility. Installation and development services are invoiced separately. Payment of invoices is made by bank transfer within 30 days of receipt of the invoice.

Prices are those in effect at the time of the order, confirmed in the quote accepted by the buyer. Payment is due without dispute once the invoice is issued.

Takeoffsolution SAS reserves the right to modify prices at any time, this excludes quotes within the limit of their validity, validated orders and validated “sales letters”.

Takeoffsolution SAS offers discounts for large orders, to be discussed depending on the products ordered.

For licenses purchased over a period of several years (more than 1 year) with annual payment, the total amount remains due even if the customer stops using the solution. In the event of early termination, Takeoffsolution SAS reserves the right to calculate and demand payment of the remaining balance due.

5. Late Payment

In the event of late payment, the following penalties will be applied:

• Late Payment Penalties : An increase of 5% of the amount due per month will be applied after the first payment reminder. (first reminder 14 days after the invoice issue date)

• Lump Sum Compensation : A fixed compensation for recovery costs of EUR 40 will be due in the event of late payment, in accordance with current legislation.

• Suspension of Services : Takeoffsolution SAS reserves the right to suspend all ongoing services until full payment is received. Written notification will be sent to the client prior to suspending services.

• Recovery Costs : All costs associated with the recovery of unpaid debts, including attorneys' fees and court costs, shall be borne by the defaulting customer.

6. Claims and Refunds

In the event of a software issue, complaints must be submitted by email to support@takeoffsolution.com within 30 days of the license delivery. A license refund may be requested within 30 days of the order, if applicable. Refunds exclude services already initiated, such as subscriptions, volume modules, and services already performed.

7. Responsability

Takeoffsolution SAS is committed to providing products and services that comply with the agreed specifications. Takeoffsolution SAS's liability is limited to the amount of the order in question.

8. Termination

Orders can be canceled by the customer before the order confirmation is sent without charge. After confirmation, a cancellation fee of 10% of the total order amount will be applied.

9. Confidentiality and Personal Data

Takeoffsolution SAS is committed to protecting its customers' personal data in accordance with applicable regulations. The data collected is used solely for order processing and service delivery.

10. Applicable Law and Disputes

These General Terms and Conditions are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution before bringing the matter before the competent courts of Ajaccio.

11. Multi-Year Contracts and Upfront Payment

For software license contracts spanning a period of several years (more than 1 year) with annual payment, the total amount of the license remains due, even if use of the solution is stopped.

• Financial Commitment : The customer agrees to pay the full amount agreed for the contractual period, regardless of when the use of the solution is terminated.

• Calculation of the Remaining Amount : In the event of early termination or cessation of use of the solution, Takeoffsolution SAS reserves the right to request immediate payment of all amounts remaining due for the current contractual period. The amount remaining due will be calculated proportionally to the number of months remaining until the end of the contractual period.

• Termination Notification : Any request for termination must be made by email to order@takeoffsolution.com. Termination will take effect on the date indicated in the notification, subject to full payment of the amounts due.
